**Role Summary**

We are seeking a talented and highly experienced Senior Legal Counsel to provide comprehensive legal support to our operations in Italy and to serve as the primary legal point of contact for our renewable energy development activities in the country. This position will report directly to the Head of Legal Europe and Latam.

The successful candidate will support senior management and all business functions in Italy, with a particular focus on the development, construction, financing and operation of solar and renewable energy projects. The role requires a strong background in corporate, transactional and energy law, combined with hands-on experience in negotiating and executing a wide range of commercial agreements. The ideal candidate will be hard-working, proactive, commercially minded and capable of exercising sound, pragmatic judgment in a fast-paced international environment.

**Your Responsibilities**

- Draft, review and negotiate all contracts and legal documents relevant to the development, construction, and operation of solar and renewable energy projects in Italy, including Share Purchase Agreements (SPAs), EPC Contracts, Development Services Agreements (DSAs), Non-Disclosure Agreements (NDAs), O&M Agreements, Grid Connection Agreements, Land Lease Agreements, Power Purchase Agreements (PPAs) and any other agreements required in the course of the business.
- Provide comprehensive legal advice and tailored solutions to support major business decisions and strategic initiatives related to solar and renewable energy projects across all stages: development, permitting, construction and operations & maintenance.
- Participate in and lead the negotiation of commercial agreements and transactions, ensuring legal risks are properly identified, assessed and mitigated in a manner consistent with the company's risk appetite and business objectives.
- Provide legal support for corporate investments, joint ventures, project financing transactions and M&A activities, including legal risk assessment, due diligence and participation in transaction negotiations.
- Maintain and ensure full compliance with applicable Italian laws and regulations, as well as relevant European Union regulations, internal policies and any applicable PRC laws and regulations.
- Handle and manage all disputes and pre-litigation matters, including coordination with external counsel, management of non-litigation negotiation processes, and oversight of dispute resolution proceedings.
- Manage relationships with external legal counsel and other advisors, ensuring quality and cost-effectiveness of external legal support.
- Train and advise commercial, development and operations teams on contractual terms and conditions, legal compliance and dispute management.
- Work collaboratively with other members of the legal team globally to identify and implement process improvements and share best practices.
- Support or lead special projects assigned from time to time by the Head of Legal Europe and Latam.

**Our Requirements**

- A minimum of 10 years of post-qualification legal experience, with a strong focus on renewable energy, corporate law, M&A and transactional work.
- Proven experience in the development of solar and renewable energy projects in Italy, with a thorough understanding of the Italian regulatory and permitting framework for the energy sector.
- Extensive experience in the negotiation and execution of a broad range of agreements, including, without limitation: Share Purchase Agreements (SPAs), EPC Contracts, Development Services Agreements (DSAs), Non-Disclosure Agreements (NDAs), O&M Agreements, Grid Connection Agreements, Land Lease Agreements and Power Purchase Agreements (PPAs).
- Admitted to practice law in Italy (iscrizione all'Albo degli Avvocati required).
- Bachelor's degree or above in Law (Laurea in Giurisprudenza); a Master of Laws (LL.M.) or postgraduate specialisation in energy or corporate law is a plus.
- Strong written and oral communication skills in both Italian and English are a must; additional language skills are a plus.
- Previous experience at a reputable law firm, combined with in-house experience in an energy or infrastructure company in Italy, is strongly preferred.
- Experience working in an international or multinational environment, including cross-border transactions, is a significant advantage.
- Ability to take initiative and act independently with good judgment, a strong business acumen and a commercial mindset.
- Problem-solving attitude, pragmatism, flexibility and resilience; ability to manage multiple priorities under tight deadlines.
- Willingness to travel within Europe and internationally as required.
